These Terms & Conditions (hereinafter referred to as the “Terms” or “Terms of Use” or “Terms of Service”) shall govern the relationship between:

(hereinafter referred to “you” or “your” or “user(s)” or member) and shall govern your use of

https://www.woofconnect.com, and its related mobile application, namely, ‘WoofConnect’, as available on Google Play Store and Apple App Store (hereinafter individually as well as collectively, referred to as the “website” or “Site” or “App” or “Platform”).

WoofConnect is a matching app for dog owners, connecting individuals based on their dog’s breeds for potential dog sitting exchanges. You can create a profile of your dog and then our App will match you with compatible dog owners. Once connected, you can chat, arrange meetups, and take care of each other’s dogs.

(hereinafter referred to as the “Service”)

Additionally, your interaction with other members is governed by our Community Guidelines, your purchase of our subscription is governed by our Cancellation & Refund Policy, and how we collect, use, store, share and transmit your data is governed by our Privacy Policy statement. Please read these Terms carefully, as these, along with our Community Guidelines, Cancellation & Refund Policy, and Privacy Policy statement forms the entire agreement between you and WoofConnect.

1. ACCEPTANCE OF THE TERMS & CONDITIONS

By downloading our App, or accessing or using our website or App, or by purchasing one of our subscription plans or making in-app purchases, or by clicking on a button or taking similar action to signify your affirmative acceptance of these Terms, you hereby represent that:

  1. You have read, understood, and agreed to be bound by these Terms and any future updates and additions to these Terms, as published from time to time at the website and App.
  2. You are of sound mind and at least 18 years in age or older (for the age of majority) as per the laws of the State where you residein order to form a binding contract with us.In case you are not of the age of majority, then you cannot use our Platform even with your parent/legalguardian’s consent.
  3. We must not have previously disabled your account for violation of law or any of our policies.
  4. You must not be prohibited from any applicable law or applicable court’s order, judgment, or decree from accessing or using our Services.
  5. You represent and warrant to us that you have not been convicted of an indictable offence or a felony, nor are convicted of a sexual offence of any nature.
  6. You have read, understood, and consented to our Privacy Policy statement.

2. ACCOUNTS, PASSWORDS AND SECURITY

  1. Account: To access various parts of the App and Site, and to avail various services, you are required to register and create an account with us on our App. When setting up and maintaining your account, you must provide and continue to provide accurate and complete information about yourself. As part of the registration process, you will create a password and an account.
  2. Social Media Signup: In case you choose to sign up using Apple/Google, you will be redirected to Apple/Google, and therefore, in addition to these Terms and our Privacy Policy, you will also be subject to the legal policies of Apple/Google. We are not liable for any losscaused to you due to any action or privacy practices of Apple/Google.
  3. Security: You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your account. You agree to (a) immediately notify us of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. We ask that you should not share your account or password with any third party. We cannot and will not be liable for any loss, damage or other liability arising from your failure to comply with this Section or from any unauthorized access to or use of your account.
  4. Inaccurate Information: If we have reasonable grounds to suspect that any of the information submitted by you is untrue, inaccurate, outdated, or incomplete, or that you have created a duplicate account, in that case, we may terminate your account, and refuse current or future use of any or all of the services.
  5. Deleting your Account: You can delete your account from our Platform at any time. If you are unable to delete the account at your end for any reason, please write to us at the WoofConnect Support page. Once you delete your account, this action is final and cannot be undone. To start using the Platform again, you will then have to create a new account and start afresh.

3. MEMBERSHIP

  1. Eligibility: To become a member of WoofConnect, you must be at least 18 years old and a dog owner. By creating an account, you confirm that you meet these eligibility requirements. Our platform is intended solely for individuals seeking dog sitting arrangements with other dog owners and not for any commercial or promotional purposes.
  2. Account Creation and Information: When creating your account, you agree to provide accurate, up-to-date, and complete information about yourself and your dog. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  3. Profile Content: As a member of WoofConnect, you are responsible for the content you post on your profile. You must not upload any content that is false, misleading, inappropriate, or violates any applicable laws or regulations. We reserve the right to review and remove any content that violates our policies or applicable law.
  4. Membership Termination: You may terminate your membership with WoofConnect at any time by deleting your account. Likewise, we reserve the right to terminate or suspend your membership if we believe you have violated any of our Terms & Conditions or engaged in any fraudulent or harmful activities within the App.
  5. Membership Renewal and Cancellation: WoofConnect offers auto-renewing subscriptions through Google Play and Apple. You can cancel your subscription at any time, but please note that there are no refunds unless required by applicable law in your jurisdiction. For more information, please refer to our Cancellation & Refund Policy posted on our website and App.
  6. Inactive Accounts: If your account remains inactive for an extended period, we reserve the right to deactivate or delete it as part of our efforts to maintain a vibrant and engaged community.

4. SAFETY TIPS

At WoofConnect, we are committed to fostering a safe and enjoyable environment for all our members. When using our App to connect with other dog owners and arranging dog sitting exchanges, we encourage you to keep the following safety tips in mind:

  1. Meet in Public Places: When meeting another dog owner for the first time, choose a public location such as a dog park or a busy street. Meeting in a public place can help ensure your safety and provide a comfortable setting for both you and your dogs.
  2. Inform a Friend or Family Member: Before meeting someone through WoofConnect, inform a friend or family member about your plans, including the location and time of your meetup. It’s always good to have someone aware of your whereabouts.
  3. Trust Your Instincts: If at any point during your interactions with another user you feel uncomfortable or uneasy, trust your instincts and consider ending the communication or meetup. Your safety and peace of mind are paramount.
  4. Share Necessary Information Wisely: While it’s essential to connect with other dog owners, refrain from sharing sensitive personal information, such as your home address or financial details, until you feel comfortable and have established trust with the other user.
  5. Dog Introductions: Before arranging a dog sitting exchange, allow your dogs to meet in a neutral location. This can help gauge their compatibility and ensure a pleasant experience for both dogs during their time together.
  6. Vaccination and Health Records: Prior to dog sitting, verify that the other dog’s vaccinations are up-to-date and that they are in good health. Ensure that you share the same information about your dog with the other owner.
  7. Supervision and Safety during Dog Sitting: During the dog sitting period, make sure to supervise the dogs when they interact. Keep them on a leash during walks and ensure they are well-behaved and comfortable with each other.
  8. Emergency Contact Information: Exchange emergency contact information with the other dog owner in case of unforeseen circumstances or emergencies during the dog sitting arrangement.
  9. Report Suspicious Behavior: If you encounter any suspicious or concerning behavior within or outside the App, please report it immediately to our WoofConnect support team. Your vigilance helps maintain a safe community for everyone.

Remember, while WoofConnect acts as a platform to connect dog owners, your safety ultimately relies on your judgment and caution. By following these safety tips and being responsible, you can have a delightful experience and build rewarding connections with fellow dog enthusiasts.

YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER MEMBERS.

YOU UNDERSTAND THAT WOOFCONNECT DOES NOT CONDUCT ANY VERIFICATION CHECKS ON ITS MEMBERS OR OTHERWISE INQUIRE INTO THE BACKGROUND OF ITS MEMBERS. WOOFCONNECT MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OR COMPATIBILITY OF MEMBERS.

5. USE OF THE SITE AND APP, YOUR RIGHTS AND RESPONSIBILITIES

Allowed uses, your rights and responsibilities:

  1. Create and Maintain a Profile: You are encouraged to create a profile for yourself and your dog, providing accurate and up-to-date information. Your profile should reflect your genuine interests and intentions as a dog owner seeking dog sitting exchanges.
  2. Explore Matches: Feel free to browse through other dog owners’ profiles, get matched with compatible users, and engage in meaningful conversations with potential dog sitters.
  3. Respectful Communication: You can use the App’s messaging feature to interact with other members. Always maintain respectful and courteous communication, adhering to our Community Guidelines.
  4. Arrange Dog Sitting Exchanges: Once you find a suitable match, you are welcome to arrange dog sitting exchanges with the other dog owner.
  5. Directions of Use: You must follow any and all guidelines or policies or directions of use as associated with each of the services on the App.
  6. Information: Whenever prompted, you must provide us with the correct, accurate and updated information. This will be processed in accordance with our Privacy Policy statement posted on the website and App.
  7. Reservation of Rights: WoofConnect reserves the absolute right in its sole discretion to modify or take down, without prior notice, any content, including without limitation photos that are immoral/derogatory/depictive of violence, manually or automatically modify the bios of the members that has any marketing content or any other content or information that violates the terms or any other policies or WoofConnect or applicable law or that WoofConnect in its sole discretion believes should not be there.
  8. Community Guidelines: You must strictly comply with our Community Guidelines while posting any content on WoofConnect or while interacting with other members. Violation of the terms of our Community Guidelines will lead to suspending or termination of member accounts.
  9. Material: For the purposes of these Terms, “material” shall mean any text, video, photo, names, published on the Site and App, whether a copyright of WoofConnect, its members, its licensors or any third party. You are not allowed to download or print the material, or extracts from it, in a systematic or regular manner or otherwise so as to create a database in electronic or paper form comprising all or part of the material appearing on the App or Site. You must not reproduce any part of the App or Site or the material or transmit it to or store it in any other website or disseminate any part of the material in any other form, unless we have indicated that you may do so.
    • Restricted uses:
      1. Do not provide false, misleading, or inaccurate information on your profile. Misrepresentation of your identity, dog details, or intentions is strictly prohibited.
      2. You cannot create an account on our App in violation of any law, order, decree or judgment.
      3. Any form of harassment, bullying, or offensive behavior towards other users is not tolerated. Treat all members with respect and kindness.
      4. Using WoofConnect for commercial purposes, advertising, or soliciting services related or unrelated to dog sitting exchanges is not allowed.
      5. You cannot post or upload any content that is grossly harmful, harassing, invasive of another’s privacy, hateful, disparaging, relating to or encouraging money laundering or gambling in any manner, any content which is or may potentially be perceived as being harmful, threatening, abusive, harassing, defamatory, libelous, blasphemous, vulgar, pornographic, pedophilic, obscene, or racially, ethnically, or otherwise unlawful in any manner whatsoever;
      6. You cannot use our App or Site or avail our services for commercial purposes;
      7. You cannot use our App or Site or purchase our services for the purpose of resale;
      8. You cannot use any automated processes, including IRC Bots, EXE’s, CGI or any other programs/scripts to view content on or communicate / contact / respond / interact with us and/or our members;
      9. You must not misuse or interfere with the Services or App or Site or try to access them using a method other than the interface and the instructions that we provide. You may use the Services only as permitted by law and as per the directions provided by us.
      10. You must not:
      • republish material from this App or Site;
      • sell, rent or sub-license material from the App or Site;
      • show any material from the App or Site in public without our consent;
      • edit or otherwise modify any material on the App or Site (other than editing your own information as per the method provided);
      • reproduce, duplicate, copy or otherwise exploit material on our App or Site for a commercial purpose;
      • redistribute material from the App or Site, except for content specifically and expressly made available for redistribution with our written consent and according to our terms;
      • infringe or violate our Intellectual Property Rights or Intellectual Property Rights of our licensors or any third party;
      • We reserve the right to restrict your access to any areas of our App or Site, or indeed our whole App or Site, at our discretion.

k. You must not use our App or Site in any way that causes, or may cause, damage to the App or Site or impairment of the availability or accessibility of the App or Site; or in any way which is unlawful, illegal, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.
l. You must not use our App or Site to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, trojan horse, worm, keystroke logger, rootkit or other malicious computer software.
m. You must not conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction and data harvesting) on or in relation to our App or Site, without our express written consent.

In case of your violation or non-compliance of any of the terms mentioned in this Terms & Conditions, we reserve the right to suspend or terminate your account or your access to the App or Site or our services, without any refunds, at our sole discretion.

6. OWNERSHIP RIGHTS

All elements comprising WoofConnect’s Site, App, and domain, including but not limited to logos, content, designs, trademarks, trade dress, trade names, services, features, and functionalities, remain the exclusive property of WoofConnect and/or its licensors, as applicable. Your use of the App or Site and your access to our services do not confer upon you any ownership or other proprietary rights in or to our App, services, or any content and designs published by us or our licensors, or third parties.

The Site, App, and its Content, encompassing trademarks, logos, copyrights, designs, layouts, typography, underlying HTML, Java scripts, text, audio clips, video clips, and graphics, along with the expression of the information contained herein, whether as a compilation or otherwise, are protected by relevant intellectual property laws, rules, and regulations.

All trademarks, trade names, and designs displayed on the App or Site are either the exclusive property of WoofConnect or are licensed to us, and are thereby safeguarded under applicable laws. Any use of a trademark, trade dress, trade name, logo, or design appearing on the App or Site without prior written permission from WoofConnect is strictly prohibited.

We take the protection of our intellectual property seriously, and any unauthorized use, reproduction, distribution, or alteration of our proprietary materials will be subject to legal action. We kindly request that you respect our ownership rights and refrain from engaging in any activities that violate our intellectual property protections.

7. YOUR RIGHTS

  1. Account Access and Control: You have the right to create an account, manage your profile, and control the information you share. You can edit or delete your account at any time.
  2. Communication Choices: You have the right to decide with whom you communicate on the App. If you feel uncomfortable or wish to discontinue conversations with any user, you can optout of further interactions.
  3. Safety and Security: We strive to maintain a safe environment for all members. If you encounter any inappropriate behavior or feel unsafe, you have the right to report the issue to our support team.
  4. Your content is yours: The content (such as photos, bio, etc.) that you upload, write or share may be protected by intellectual property laws. You own the intellectual property rights in any such content. Nothing in these Terms takes away the rights you have to your own content. You are free to share your content with anyone else, wherever you want.
  5. License: However, to provide our Services we need you to give us some legal permissions (known as a ‘license’) to use this content of yours. This is solely for the purposes of providing and improving our Services.
  6. Description of License: Specifically, when you share content that is covered by intellectual property rights, you grant us a non-exclusive, sub-licensable, royalty-free, and worldwide license to host, distribute, modify, copy, publicly perform or display, and translate your content. We retain the right to display the same at our own discretion. For example, if we find it defamatory, misleading, or false, we might not display the same.
  7. Deletion: You can delete your content or your account from our App or Site at any time.

8. PRIVACY

In order to see what personal information we collect and how we use or store or share such information, please refer to the detailed Privacy Policy statement available on our App and Site.

9. LINKS TO THIRD-PARTY SITES

The App or Site might contain links to third-party websites, products and services. For example, there are in-app purchases for purchasing the subscription of our App, which is controlled by Google and/or Apple. Such third-party links are not under the control of WoofConnect, and WoofConnect is not responsible for any third-party links. WoofConnect provides access to these third-party links only as a convenience to you, and does not review, approve, monitor, endorse, warrant, or make any representations with respect to third-party links. You shall use all third-party links at your own risk, and should apply a suitable level of caution and discretion in doing so. Whenever you click on such links, you are taken to such a third-party website, and you get out of the jurisdiction of our App/Site. Therefore,you shall be governed by the legal policies of such third-party websites and we suggest that you readthose policies. In case of any damage due to such action of third-party links, WoofConnect shall not be responsible.

10. SUBSCRIPTION, PAYMENTS, AND TAXES

We offer a subscription-based service. You shall be responsible to pay for this service should you decide to avail it. You shall be responsible to borne all the applicable taxes and bank charges (wherever applicable) for such purchase. The service employs the use of third-parties for the purpose of facilitating payments. The subscriptions automatically renew at the end of subscription period until you unsubscribe or cancel. We reserve the right to modify the prices of our subscription packages, add or discontinue any of the services, at any time at our sole discretion, without any prior notice. The cancellation and refunds are governed by our Cancellation & Refund Policy.

11. DISCLAIMER

  1. No Dog Sitting Services Provided by WoofConnect: WoofConnect is a platform that connects dog owners with each other for potential dog sitting exchanges. We do not provide dog sitting services ourselves. Any arrangements or engagements between users for dog sitting are made independently, and WoofConnect is not involved in the actual provision of dog sitting services.
  2. User Responsibility: It is the responsibility of each user to exercise caution and make informed decisions when engaging in dog sitting exchanges with other members. Users are solely responsible for the care and safety of their own dogs during these arrangements.
  3. Accuracy of Information: While we strive to provide accurate and up-to-date information on our Site and App, we do not guarantee the accuracy, completeness, or reliability of any content. Users should verify the information provided by other members before entering into any dog sitting arrangements.
  4. Safety and Conduct: WoofConnect encourages users to follow safety guidelines and best practices when meeting and interacting with other members. We do not assume responsibility for any actions, behaviors, or consequences arising from interactions between users.
  5. Verification of Users: WoofConnect does not conduct background checks or verify the identity of its users. While we encourage members to provide accurate information, we do not guarantee the authenticity of profiles or the suitability of other users for dog sitting arrangements.
  6. Health and Behavior of Dogs: WoofConnect does not assume responsibility for the health or behavior of any dogs participating in dog sitting exchanges. Users are advised to ensure that their dogs are healthy, vaccinated, and well-behaved before arranging a dog sitting meetup.
  7. Dog Sitter Suitability: WoofConnect does not endorse or guarantee the suitability of any dog sitter for specific dog breeds or individual dogs. Users should assess compatibility and make informed decisions based on their dogs’ needs and temperament.
  8. Responsibility for Dog Care: Users engaging in dog sitting arrangements are solely responsible for the care, supervision, and well-being of the dogs involved. WoofConnect is not liable for any incidents, accidents, or damages that may occur during the dog sitting period.
  9. Communication and Agreement: WoofConnect encourages users to communicate openly and establish mutual agreements for dog sitting arrangements. Any issues or disagreements between users are the sole responsibility of the individuals involved, and WoofConnect does not mediate or arbitrate such disputes.
  10. Compliance with Local Laws: Users must comply with all applicable laws, rules, and regulations when using WoofConnect and arranging dog sitting services. WoofConnect is not responsible for any legal consequences resulting from users’ actions or non-compliance with local laws.
  11. Internet Connectivity: WoofConnect relies on internet connectivity for its services. Users are responsible for their own internet connection and data usage while using the app, and WoofConnect is not liable for any connectivity issues.
  12. Third-Party Links: Our Site or App may contain links to third-party websites or services. These links are provided for convenience and informational purposes only. WoofConnect is not responsible for the content, privacy policies, or practices of these external websites or services.
  13. App Compatibility: While we strive to make WoofConnect accessible on various devices and platforms, we cannot guarantee compatibility with all devices or uninterrupted access due to factors beyond our control.
  14. Safety: You are responsible for your own safety and the safety of your dog. Please follow the safety tips provided in Section 4 above.
  15. Content: Users are solely responsible for the content they share on their profiles and in their communications with other members. WoofConnect is not liable for any content posted by users that may be offensive, misleading, or inaccurate. While using our platform and our services, you may encounter content or information (including profiles, bio, images, and messages) that are posted by other members. Therefore, there is a likelihood that such information or content could be inaccurate, incomplete, delayed, misleading, illegal, offensive, or otherwise harmful. We cannot always prevent this misuse of our Services. Therefore, you agree that we are only an intermediary platform, and are not liable or responsible for such content or information or the actions or conduct of the members. You must act cautiously and at your own risk while dealing, and especially meeting, with any member you find on WoofConnect. We do not implicitly or explicitly support or endorse any member’s profile on the platform.
  16. General: The App as well as the Site is provided on an “as-is” basis, and WoofConnect (and our licensors and affiliates) expressly disclaims any and all warranties and conditions of any kind, whether express, implied, or statutory, including all warranties or conditions of quality, suitability, accuracy, reliability, completeness, timeliness, performance, safety, fitness for a particular purpose, or accuracy of the same. You understand that we make no guarantees, either express or implied, regarding compatibility with individuals you find and/or meet through WoofConnect. We make no warranty that our App or the Site will meet your requirements, will be available on an uninterrupted, timely, secure, or error-free basis, or will be accurate, reliable, free of viruses or other harmful code, complete, legal, or safe.
  17. Waiver: You hereby waive your right to sue us for any message, content, action or conduct of any member on or off the platform, or for any breach of promise by such members.

12. LIMITATION OF LIABILITY

  1. To the maximum extent permitted by law, in no event shall WoofConnect (or our members, employees, licensors or affiliates) be liable to you or any third party for any costs of procurement of substitute services, or any indirect, consequential, exemplary, incidental, special or punitive damages arising from or relating to these terms or your use of our services, or your inability to use or purchase from, the App, even if WoofConnect has been advised of the possibility of such damages. Access to, and use of our App or Site and our services, and your interaction with the other members (on or off WoofConnect), including dog owners engaging in dog sitting arrangements, is at your own discretion and risk, and you will be solely responsible for any damage to your person or property or finances.
  2. To the maximum extent permitted by law, notwithstanding anything to the contrary contained herein, our liability to you for any damages arising from or related to these Terms (for any cause whatsoever and regardless of the form of the action), will always be limited to amount paid by you to us in the last one (1) month. The existence of more than one claim will not enlarge this limit.

13. LEGAL ACTION

If you are found to be degrading, tarnishing, maligning the image, goodwill, or reputation of WoofConnect or its members, by spreading hate, insulting, false, fake reviews or engaging in mala fide actions against the above, strong legal actions will be taken immediately.

14. INDEMNITY

You acknowledge to defend, indemnify, and hold WoofConnect, its members, owners, affiliates, directors, officers, employees, agents, partners, and any other licensors (hereinafter referred to as “Indemnified Party”) harmless from and against any claim, disputes, fine, liability, demand, or expense, including reasonable lawyer/solicitor/attorneys’ fees, made by a third party, relating to, or arising from:

  1. Your violation of ours or any third-party right;
  2. Your wrongful or improper use of our services;
  3. Your violation of any applicable laws, rules or regulations;
  4. Your violation of these Terms or any other policy of WoofConnect as associated with our services;
  5. The indemnifications set forth above will survive the termination or expiration of these Terms and/or your use of our services.

15. GOVERNING LAW AND DISPUTE RESOLUTION

  1. Governing Law: The Terms and any dispute arising from the same will be governed by applicable Dutch laws.
  2. Exclusive Jurisdiction: All disputes must first be attempted to be resolved amicably, failing which, such controversy, conflict or dispute shall be finally settled by bringing it before the appropriate courts located in Hengelo, Netherlands.
  3. Waiver of Jury Trial: YOU AND US HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JURY.
    YOU AND WOOFCONNECT ARE INSTEAD ELECTING THAT ALL CLAIMS AND DISPUTES ARISING OUT OF OR IN RELATION TO THESE TERMS BETWEEN YOU AND WOOFCONNECT, SHALL BE RESOLVED BY A JUDGE.
  4. Waiver of Class Action and Relief: ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THESE TERMS MUST BE ADJUDICATED ON AN INDIVIDUAL BASIS AND NOT ON A COLLECTIVE CLASS BASIS, ONLY INDIVIDUAL RELIEF IS AVAILABLE, AND CLAIMS OF MORE THAN ONE USER CANNOT BE LITIGATED OR CONSOLIDATED WITH THOSE OF ANY OTHER USERS.
  5. Disputes between Member inter-se: You are solely responsible for your communications with other WoofConnect members. We reserve the right, but have no obligation, to monitor disputes between you and other members. We shall not become a party to the dispute between you and the other members of the App or Site. We also reserve the right to take appropriate action against errant members. However, we are not obliged to share such action with other members, including complainants. We expressly disclaim any responsibility or liability for any transactions or interactions between the members inter-se. However, in case of any issues,please do not hesitate to report member profiles, in which case, we will take action basedon our policy or applicable law. 16. INTELLECTUAL PROPERTY CLAIMS

Review Process:
Once we receive your Intellectual Property Claim, we will promptly investigate the matter and assess the alleged infringement. We may request additional information or documentation if necessary. During this process, we may also contact the user who posted the content in question to gather their response.

Resolution of Claims:
If we determine that there is a valid claim of intellectual property infringement, we will take appropriate action, which may include removing or disabling access to the infringing content. We may also terminate the account of the user responsible for the infringement, if applicable.

Counter-Notification:
If your content has been removed or disabled due to an Intellectual Property Claim, and you believe that the claim was submitted in error, you have the right to send a counter-notification to us. Please provide your contact information, a description of the content that was removed, and a statement explaining why the claim was submitted in error. We will review the counter-notification and may reinstate the content if appropriate.

You agree that all agreements, notices, disclosures and other communications that are provided to you electronically satisfy any legal requirement that such communications be in writing.   3. Breach: In case of any breach or threatened breach to the provisions of these Terms, we reserve the right to suspend or terminate your account without any refund for the unutilized portion of your subscription, and/or stop you from availing any further services from us, at our sole discretion.
  4. Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions of these Terms will continue in full force and effect.
  5. Waiver: Our failure to insist on or enforce strict performance of these Terms & Conditions shall not be construed as a waiver by us of any provision or any right that we have to enforce these Terms and nor shall any course of conduct between WoofConnect and you or any other party be deemed to modify any provision of these Terms.
  6. Survival: Notwithstanding any other provisions of these Terms & Conditions, or any general legal principles to the contrary, any provision of these Terms & Conditions that imposes or contemplates continuing obligations on either party shall survive the expiration or termination of these Terms & Conditions, for any reason whatsoever.
  7. No Third-Party Beneficiaries: Except as otherwise expressly provided in these Terms & Conditions, there shall be no third-party beneficiaries to these Terms & Conditions.
  8. No Assignment: You may not assign these Terms & Conditions (or any rights, benefits or obligations hereunder) by operation of law or otherwise without the prior written consent of WoofConnect, which may be withheld at WoofConnect’s sole discretion. Any attempted assignment that does not comply with these Terms & Conditions shall be null and void. ix.Entire Agreement: The Terms, Community Guidelines, Cancellation & Refund Policy and our Privacy Policy, together with any additional terms and conditions incorporated herein or referred to herein constitute the entire agreement between WoofConnect and you, relating to the subject matter hereof, and supersedes any prior understanding or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing or by making such amendments or modifications available on our App or Site.

Force Majeure: WoofConnect, its employees, and its third party service providers will be excused from performance for any period during which, and to the extent that, such party or any subcontractor is prevented from performing any obligation or service, in whole or in part, as a result of causes beyond its reasonable control, and without its fault or negligence, including without limitation, acts of God, communication line failures, power failures, and/or similar inabilities.
  10. Updates to these Terms: We may add to or change or update these Terms at any time, from time to time, entirely at our own discretion, with or without any prior written notice. You are responsible for checking these Terms periodically. Your use of the App and Site after any amendments to the Terms shall constitute your acceptance to such amendments.
